CTG, Inc., a Buffalo based, international IT staffing and consulting company, is currently seeking an in-house Assistant General Counsel to support day to day operations related to corporate compliance and securities, mergers and acquisitions, employment, immigration, information technology, intellectual property and contract review and negotiation. Position Summary* Provides advice and counsel on the legal affairs of CTG. Works closely with corporate and field management as well as external counsel. Responsibilities* Provide daily legal support related to corporate compliance and securities, mergers and acquisitions, employment, immigration, information technology, intellectual property and contract review and negotiation.* Participate in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters, both domestically (in a multi-state environment) and internationally.* Manage debt collection litigation, draft demand letters and negotiate settlements* Draft various agreements and letters regarding items set forth above* Work on and research various corporate, securities and taxation matters including buying and selling of businesses and filing SEC documents* Examine material for legal implication and advise appropriate parties* Apply for copyrights, registration and trademarks* Draft and review Agreements and Contracts regarding subcontractor agreements* Support general counsel on various board of director and litigation matters* Conduct legal research* Perform other duties as assigned to fulfill responsibilities Job Requirements:* Graduate law degree (Juris Doctorate)* Admission to a practice law in New York state* Minimum five years' experience, ideally in both a corporate legal setting and law firm environment* Excellent verbal and written communication and presentation skills* Strong problem solving and analytical abilities* Ability to build consensus and work effectively with management at all levels, including executives, as well as with sales, external clients, human resources, or within a cross-departmental team* Ability to manage and prioritize multiple matters with high degree of urgency* Familiarity with regulatory compliance for international operations is preferred* Fluency in French is preferred but not required Additional Information* No third party resumes will be accepted* CTG will consider for employment qualified applicants with criminal histories in a manner consistent with the requirements of all applicable local, state, and federal laws.* Drug testing and/or other employment-related inquiries may be conducted* All interested individuals MUST be able to work on a W2 Tax basis (no C2C or third party vendors!* Candidates must currently reside in USA or Canada* Ability to travel internationally* CTG is an Equal Employment Opportunity employer* CTG is an E-Verify Company To be considered for this opportunity, please apply directly through our website by clicking the link below or email your Word version resume and salary expectations to Jessica.firstname.lastname@example.org.
